Lend Capital is originating a secured loan participation tied to a hedge fund borrower. Participants receive a fixed 15% annual return, paid monthly, secured against borrower account balances and intellectual property. A loan participation is a cleaner instrument than equity — it carries collateral, a contractual rate of return, and monthly cash distributions. An LP position carries none of those.

Layer 1

Personal Guarantee

A personal guarantee from the borrower's founding technology principal — a named individual obligation rather than a corporate representation — covering performance integrity and operational conduct. Direct personal accountability behind the operating infrastructure.

Layer 2

Corporate Guarantee + Segregated Reserves

A joint-and-several corporate guarantee from the borrower entities, structured as primary obligors. Deposited capital is held against a 1:1 reserve requirement of identical assets in segregated accounts, with anti-rehypothecation provisions preventing any lending, pledging, or staking of participant capital.

Layer 3

All-Risk Insurance Wrapper

An all-risk insurance wrapper over the reserves backing participant capital. Reserves are held in cash, money market funds, and US Treasury Bills, and are independently attested with third-party verification.

These protections sit on top of the loan structure rather than replacing it. The participation is designed first to protect capital, and second to deliver consistent monthly income.
